Yahoo Inc's President Decker Could Directly Benefit from Buyout
(NewsVisual, powered by IntellectSpace) -- Several members of Yahoo! Inc’s (NASDAQ: YHOO) leadership, including a few of its Senior Executives and members of its Board of Directors, could reap enormous financial benefits--either directly or indirectly--from a buyout of the company’s stock at a high price.
For example, NewsVisual created an IntellectSpace Knowledge Map that shows that Yahoo President Susan L Decker has “beneficial ownership of securities” with Yahoo! Inc.
And then, by clicking on the Knowledge Map’s link to a Securities and Exchange Commission report called “A Statement of Changes in Beneficial Ownership” (SEC Form 4) that was filed on Aug 2, 2007, we can see instantaneously that Ms. Decker acquired 5,242 shares of Yahoo! Inc Common Stock. She purchased the stock at $24.56 per share, the report shows.
In addition, at the time of that SEC filing, Ms. Decker owned a total of 424,676 shares of the company’s common stock. She also has direct ownership of all of her shares.
Likewise, when we click on the Knowledge Map’s link to CEO Jerry Yang, we can quickly see that he is also has “beneficial ownership of securities” with Yahoo! Inc.
And then, by clicking on the Knowledge Map’s link to a Securities and Exchange Commission report called “Annual Statement of Changes in Beneficial Ownership” (SEC Form 5) that was filed Nov 24, 2006, we can quickly see that Mr. Yang owns far more shares of Yahoo common stock than Ms. Decker.
Yet, Form 5 shows that Mr. Yang has only “Indirect Ownership” over the shares.
These include 43,489,864 shares “By Trust,” another 9,314,390 share controlled “By Family Partnership,” and another 6,310 shares controlled “By Wife.”
The Knowledge Map also shows that all of Yahoo’s remaining Senior Executives and Directors whom the Map depicts also have “beneficial ownership of securities” with the company.
